Terms of Service

These Terms of Service (“Terms”) are an agreement between you and SELAT AI Labs, Inc. (“SELAT”, “we”, “us”). They govern your use of the SELAT services described below. By using the Services, or by directing a software agent to use them on your behalf, you agree to these Terms. If you use the Services for an organization, you agree on its behalf and confirm you have authority to do so.

1. The Services

“Services” means:

  • The website at selat.ai, including the docs and machine-readable discovery files.
  • The hosted discovery services: the catalog API at catalog.selat.ai, the hosted discovery MCP server, and the search re-ranking service.
  • The SELAT Router at router.selat.ai, which receives payment from your wallet and pays the provider you selected on the payment rail that provider accepts.
  • The refund service, which takes refund claims for eligible routed calls.
  • The funding session service, which opens an onramp session for your wallet with a third-party vendor (Transak, through Circle's Onramp Kit). The vendor runs card payment and identity verification (KYC) under its own terms. SELAT has no access to the data you enter in that process.

Open-source software. The SELAT CLI, plugins, skills, and related libraries run on your own machine. They are licensed under their own open-source licenses (for example, Apache 2.0). Those licenses govern the software. These Terms govern your use of the hosted Services it connects to.

2. SELAT is non-custodial

SELAT never holds your private keys, your wallet credentials, or your funds. Your agent wallet is provided by a third party (for example, Circle). Your relationship with that provider is governed by its own terms. Every payment is signed on your device by your wallet. SELAT cannot sign, reverse, or recover a payment for you. If you lose access to your wallet, SELAT cannot restore it.

3. Eligibility and your responsibilities

  • You must be at least 18 years old and able to form a binding contract. You must not be barred from using the Services under applicable law, including sanctions laws.
  • You are responsible for every action taken by any agent, script, or person using your wallet or your installation of the SELAT software. That includes every paid call it approves.
  • You are responsible for the requests you send and the data you include in them, and for having the right to send that data to the provider you call.
  • You are responsible for keeping your devices, wallet sessions, and spending settings secure.

4. Payments, quotes, and fees

  • Quotes. Before a paid call, the Services show a price for the call. That price is the provider's price plus any SELAT router fee. A quote is valid only for its stated window. Prices are set by providers and can change.
  • Router fee. When a call is routed through the SELAT Router, SELAT may charge a fee. The fee is shown in the quote and itemized on the receipt. [Counsel / product: confirm fee disclosure language against the current fee schedule.]
  • Per-call limit. The Router may decline calls above a per-call maximum price that SELAT sets from time to time.
  • Payments are final. Payments settle on public blockchains or payment networks and cannot be reversed. Interrupting your agent or the CLI after a payment is signed does not cancel it.
  • Network costs. Third parties may charge network, bridge, deposit, or onramp fees. These are separate from SELAT's fees.
  • Taxes. You are responsible for any taxes that apply to your purchases.

5. Spending controls

The SELAT software offers spending controls such as session budgets, per-call caps, approval prompts, and a freeze command. Your wallet provider may offer its own limits. These controls are tools to help you manage spend. They are not a guarantee that no payment beyond your intended amount will occur. You are responsible for configuring them and for reviewing what your agent approves.

6. Refunds

If a routed call is charged but the provider fails to deliver it, you may be able to file a refund claim through the refund service. SELAT reviews claims and decides them case by case. Approval is not guaranteed, and the amount, method, network, and timing of any refund are at SELAT's discretion. You must prove control of the paying wallet. Claims for calls that returned a successful response are not eligible. [Counsel: confirm claim window and eligibility criteria.]

7. Third-party providers

The catalog lists APIs and services operated by independent third parties (“Providers”). SELAT does not operate, control, or endorse Providers. SELAT is not a party to your use of a Provider's service, and it is not responsible for:

  • the content, accuracy, legality, or availability of a Provider's responses;
  • a Provider's pricing, its handling of your data, or its own terms.

You must comply with each Provider's terms. Catalog listings, rankings, and reliability or transactability signals are informational. They are based on observed payment behavior and are not a warranty of any Provider's quality or delivery.

8. No financial, investment, or legal advice

SELAT does not provide financial, investment, tax, or legal advice. Content returned by Providers, or by skills that combine Provider data (for example, market or token briefs), is not advice from SELAT. You should not rely on it as such. SELAT is not a bank, broker, or exchange. [Counsel: review regulatory characterization of the Router for each launch jurisdiction.]

9. Acceptable use

You will not use the Services to:

  • break any law or regulation, including sanctions, anti-money-laundering, consumer protection, privacy, and intellectual-property laws;
  • pay for or obtain anything unlawful;
  • infringe or violate anyone else's rights;
  • interfere with, overload, probe for vulnerabilities in, or get around rate limits or security controls of the Services or any Provider;
  • use the Router or refund service fraudulently, including by filing false refund claims;
  • misrepresent your identity or your affiliation with SELAT;
  • resell or re-host the hosted Services in a way that misrepresents their source.

Using the open-source software and the public catalog data in line with their licenses and these Terms is permitted.

10. Intellectual property

SELAT and its licensors own the Services, the SELAT name, and the SELAT logos. Your rights in open-source components are set by their licenses. Using the SELAT name and marks requires our permission, except for accurate references to SELAT. If you send us feedback, we may use it without obligation to you.

11. Availability and changes

The Services may change, be suspended, or be discontinued at any time. This includes the catalog contents, supported rails and networks, fees, and per-call limits. We may suspend or block access that we reasonably believe violates these Terms or threatens the Services, Providers, or other users.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SELAT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. THESE INCLUDE MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SELAT DOES NOT WARRANT THAT THE SERVICES, ANY PROVIDER, OR ANY BLOCKCHAIN OR PAYMENT NETWORK WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SELAT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IT WILL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, OR DIGITAL ASSETS. SELAT'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF (A) THE ROUTER FEES YOU PAID SELAT IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US$100.

14. Indemnity

You will defend and indemnify SELAT against third-party claims arising from your use of the Services, your agents' actions, your requests to Providers, or your breach of these Terms or applicable law.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Delaware, and you and SELAT consent to their jurisdiction. [Counsel: decide on arbitration and class-action waiver.]

16. Changes to these Terms

We may update these Terms. We will post the updated version here and change the date above. If you keep using the Services after an update takes effect, you accept the updated Terms.
